Surfedo Terms and Conditions

You must be at least 18 years of age and have the legal authority to enter into a binding contract to use the Service. By using Surfedo, you represent that you meet these requirements. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

• You agree to provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You agree to notify us immediately at legal@surfedo.com if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

a) Pricing

Surfedo offers Free and paid subscription plans as described on our Pricing page at https://surfedo.com/pricing. Prices are listed in USD and are subject to change with notice.

b) Billing

• Paid subscriptions are billed on a recurring monthly or annual basis.
• Payments are processed securely by Stripe, Inc. By providing payment information, you authorize us to charge your payment method on the applicable billing cycle.
• You are responsible for all applicable taxes unless we are legally required to collect them from you.

c) Free Trial

We may offer free trials or a free tier at our discretion. We reserve the right to modify or discontinue free access at any time.

d) Refunds

All payments are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at legal@surfedo.com within 14 days of the charge.

e) Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree NOT to:

• Use the Service to violate any applicable law or regulation
• Submit domains or queries that infringe third-party intellectual property rights
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated bots or scripts to scrape, crawl, or overload our systems
• Resell, sublicense, or commercially exploit the Service without our written consent
• Introduce malware, viruses, or harmful code into the Service
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate your account for any violation of these rules.

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, scan algorithms, fix generators, and the AgentScore brand — are owned by or licensed to Surfedo and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription term.

You retain ownership of any data you submit to the Service (e.g., your domain, queries). By submitting such data, you grant us a limited license to process it solely to provide and improve the Service.

The AgentScore platform queries publicly accessible AI engines (ChatGPT, Perplexity, Gemini, Claude) to retrieve ranking data. We are not affiliated with, endorsed by, or in partnership with OpenAI, Perplexity AI, Google, or Anthropic.

AI engine outputs and rankings may change at any time without notice. We make no guarantee that results will be consistent, complete, or available at all times, as they depend on the availability and policies of third-party platforms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Surfedo does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI ranking results will be accurate, complete, or current
• The fix recommendations will result in specific business outcomes
• Any defects in the Service will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SURFEDO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Surfedo and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Service ceases immediately
• We may delete your account data after 30 days (unless required to retain it)
• Any outstanding fees become immediately due and payable

You may terminate your account at any time by cancelling your subscription and deleting your account in the settings, or by contacting us at legal@surfedo.com.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

You waive any right to participate in a class-action lawsuit or class-wide arbitration.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the website. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Surfedo.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any provision shall not be deemed a waiver of our right to do so in the future.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
